Abay Insurance S.C. was established in July 2010 in accordance with the licensing and supervision of insurance business proclamation No. 86/1994.The prevailing paid up capital of the company is Birr 603,000,000 million Paid up Capital and subscribed capital of 1,000,000,000 billion Birr. Currently, the company is providing General and Long Term (Life Assurance) service under 52 branch offices that operate in different regions of the country. The number of branches will be periodically increased to reach to 69 Branch Offices by 2028/29. The company has registered a remarkable growth since establishment and has managed to build a sustainable and fruitful business relationship with various types of clients having a multitude of activities. The company has a strong financial base and has created a meaningful network with global partners including prominent re-insurers that would easily manage risks of any quantum.

ለዓባይ ኢንሹራንስ አ.ማ የባለአክሲዮኖች 15ኛ መደበኛ ጠቅላላ ጉባዔ የስብሰባ ጥሪ
በኢ.ፌ.ድ.ሪ ንግድ ህግ አንቀፅ 366(1)፣ 367(1 እና 2)፣ አንቀፅ 370 አንዲሁም በአክሲዮን ማህበሩ መመስረቻ ፅሁፍ አንቀፅ 13(2) መሠረት የዓባይ ኢንሹራንስ አ.ማ የባለአክሲዮኖች 15ኛ መደበኛ ጠቅላላ ጉባዔ ታህሳስ 18 ቀን 2018 ዓ.ም ከጠዋቱ 2፡30 ሠዓት ጀምሮ አዲስ አበባ በሚገኘው ዲ ሊዮፖል (de leopol) ሆቴል ይካሄዳል፡፡
በመሆኑም የተከበራችሁ የማህበሩ ባለአክሲዮኖች በዕለቱ ጉባዔው ላይ እንድትገኙ የዳይሬክተሮች ቦርድ ጥሪውን ያስተላልፋል፡፡
1.ማህበሩን የሚመለከቱ ዋና ዋና መረጃዎች
1.1. የአክሲዮን ማህበሩ ዋና መሥሪያ ቤት አድራሻ፡- አዲስ አበባ፣ ቦሌ ክ/ከተማ፣ ወረዳ 3 በተለምዶ አትላስ አካባቢ ባለው የማህበሩ ህንፃ፣ ድረ ገፅ፡ www.abayinsurance.com
1.2 የአክሲዮን ማህበሩ የምዝገባ ቁጥር፡- የንግድ ምዝገባ ቁጥር MT/AA/2/0011521/2004፣ የመድን ሥራ ፈቃድ ቁጥር 015/10
1.3. የአክሲዮን ማህበሩ የተፈረመ ዋና ገንዘብ (ካፒታል)፡- ብር 1,000,000,000
1.4. የአክሲዮን ማህበሩ የተከፈለ ዋና ገንዘብ (ካፒታል)፡- ብር 791,887,000
2. የ15ኛ መደበኛ ጠቅላላ ጉባዔ አጀንዳዎች
2.1. የጉባዔውን አጀንዳ ማፅደቅ፣
2.2. እ.ኤ.አ በ2024/25 የተፈፀሙ የአክሲዮን ሽያጮች እና አክሲዮን ዝውውሮችን ማፅደቅ፣
2.3.እ.ኤ.አ የ2024/25 የዳይሬክተሮች ቦርድ ዓመታዊ ሪፖርት ማድመጥና ተወያይቶ ማፅደቅ፣
2.4.እ.ኤ.አ የ2024/25 የውጭ ኦዲተሮችን ዓመታዊ ሪፖርት ማድመጥና ተወያይቶ ማፅደቅ፣
2.5.እ.ኤ.አ የ2024/25 የባለአክሲዮኖችን የትርፍ ድርሻ ክፍፍል መወሰን፣
2.6.የውጭ ኦዲተር ባቀረበው ተጨማሪ የአገልግሎት ክፍያ ጥያቄ ላይ ተወያይቶ መወሰን፣
2.7. የዳይሬክተሮች ቦርድ የ2024/25 ዓመታዊ የሥራ ዋጋና የ2025/26 ወርሃዊ የአገልግሎት ክፍያን መወሰን፣
2.8. ለሚቀጥሉት ሶስት ዓመታት የሚያገለግሉ የዳይሬክተሮች ቦርድ አባላት ምርጫ ማካሄድ፡፡
1. ማሳሰቢያ
1.1. በጉባዔው ላይ መገኘት የማትችሉ ባለአክሲዮኖች ተወካዮቻችሁ ስልጣን ባለው የመንግስት አካል ተረጋግጦ የተሰጠ የውክልና ሠነድ ዋናውን እና ፎቶ ኮፒ በመያዝ ወይም በንግድ ህግ አንቀፅ 377 መሰረት ጉባዔው ከመካሄዱ ከሶስት ቀን በፊት በማህበሩ ፀሐፊ ቢሮ ወይም አቅራቢያችሁ በሚገኙ የኩባንያው ቅርንጫፎች በአካል በመቅረብ ለዚሁ ዓላማ የተዘጋጀውን የውክልና ቅፅ እንዲሞሉና ተወካዩም የውክልና ማስረጃውን በመያዝ የጉባዔው ተወካይ ለመሆንና ድምፅ ለመስጠት የሚችሉ መሆኑን በአክብሮት እንገልፃለን፡፡ ሆኖም አንድ ባለአክሲዮን በማህበሩ ጠቅላላ ጉባዔ በማንኛውም ችሎታ መወከል የሚችለው አንድ ሰው ብቻ መሆኑን እናስገነዝባለን፡፡
1.2. የአክሲዮን ማህበሩ ባለአክሲዮኖች ወይም ህጋዊ ወኪሎቻቸው በጉባዔው ላይ ለመሳተፍ ሲመጡ ኢትዮጵያዊ ዜግነታቸውን የሚያሳይ የታደሰ መታወቂያ ወይም ፓስፖርት ወይም መንጃ ፈቃድ ዋናውንና ኮፒ በመያዝ በጉባዔው ላይ መሳተፍ ይችላሉ፡፡ እንዲሁም ትውልደ ኢትዮጵያዊ ሆኖ የውጭ ሀገር ዜግነት ያላችሁ ባለአክሲዮኖች ትውልደ ኢትዮጵያዊ መሆናችሁን የሚያረጋግጥ ቀኑ ያላለፈበት መታወቂያ (ቢጫ ካርድ) ይዘው መቅረብ ያለብዎት መሆኑን በአክብሮት እናሳውቃለን፡፡

ለዓባይ ኢንሹራንስ አ.ማ ባለአክሲዮኖች በሙሉ፤
ዓባይ ኢንሹራንስ አ.ማ ታህሳስ 18 ቀን 2018 ዓ.ም በሚያካሂደው 15ኛ መደበኛ ጠቅላላ ጉባዔ የዳይሬክተሮች ቦርድ አባላት ምርጫ የሚካሄድ ሲሆን ጥቅምት 26 በሪፖርተር ጋዜጣ እና ጥቅምት 28 ቀን 2018 ዓ.ም በአዲስ ዘመን ጋዜጣ የዕጩ ተወዳዳሪዎችን ዝርዝር መግለፃችን ይታወቃል፡፡ ሆኖም ከተወዳዳሪዎች መካከል ሶስት ባለአክሲዮኖች በሌላ የፋይናንስ ተቋም የቦርድ አባል ስለመሆናቸው ጥቆማ ቀርቦ አስፈላጊው ማጣራት ከተደረገ በኋላ ከተጠባባቂዎች እንዲተኩ አድርገናል፡፡ ስለሆነም ለምርጫ የሚቀርቡ የመጨረሻ ዕጩ የቦርድ አባላት ስም ዝርዝር ከዚህ እንደሚከተለው የተሻሻለ መሆኑን በአክብሮት እንገልፃል፡፡
